The US-based drugmaker said Tuesday it will pay $1 billion to buy AstraZeneca, which had a "smaller" profit before it reported earnings on its second-quarter profit guidance, or 3.5%.

AstraZeneca said the new cash and stock structure will provide "extra cash flow to patients," and will add about $100 million in restructuring funds and $150 million in new debt.
"This structure will be an important addition to our portfolio," the company said in a statement. "Patients, including our board, will benefit from increased access to quality products and the ongoing research and development efforts we are already engaged in, providing patients with quality and life-enhancing therapies."
AstraZeneca said it planned to continue operating operations "to deliver on our ongoing commitment to bring our innovative medicines to market and to achieve our goal to bring our products to market in the next 12 months," the company said.
AstraZeneca said it expects to receive more than $15 billion in new sales and revenues from its U. S. drug business in the second half of this year.
"We expect to continue our focus on revenue growth, we expect to increase our operating margin and increase our revenue share by a percentage point in the second half of this year," said Dr. David R. Gerhard, president of Novartis AG.
Novartis, the world's second-largest drugmaker, also expects to receive more than $5 billion in new sales and revenues from its U.
In 2012, the company earned $2.7 billion on sales of Nexium, the world's top-selling drug, and $2.5 billion on sales of AstraZeneca's top-selling painkiller Celebrex.
